Pending Home Sales Fell 8.6% in June - National Association of Realtors

WASHINGTON (July 27, 2022) – Pending home sales decreased in June, following a slight increase in May, according to the National Association of REALTORS®. All four major regions posted month-over-month and year-over-year pullbacks, the largest of which occurred in the West.

The Pending Home Sales Index (PHSI),* www.nar.realtor/pending-home-sales, a forward-looking indicator of home sales based on contract signings, dipped 8.6% to 91.0 in June. Year-over-year, transactions shrank 20.0%. An index of 100 is equal to the level of contract activity in 2001.

"Contract signings to buy a home will keep tumbling down as long as mortgage rates keep climbing, as has happened this year to date," said NAR Chief Economist Lawrence Yun. "There are indications that mortgage rates may be topping or very close to a cyclical high in July. If so, pending contracts should also begin to stabilize."

According to NAR, buying a home in June was about 80% more expensive than in June 2019. Nearly a quarter of buyers who purchased a home three years ago would be unable to do so now because they no longer earn the qualifying income to buy a median-priced home today.

"Home sales will be down by 13% in 2022, according to our latest projection," Yun added. "With mortgage rates expected to stabilize near 6% and steady job creation, home sales should start to rise by early 2023."

June Pending Home Sales Regional Breakdown

The Northeast PHSI slid 6.7% compared to last month to 80.9, down 17.6% from June 2021. The Midwest index dropped 3.8% to 93.7 in June, a 13.4% decline from a year ago.

The South PHSI slipped 8.9% to 108.3 in June, a decrease of 19.2% from the previous year. The West index slumped 15.9% in June to 68.7, down 30.9% from June 2021.

*The Pending Home Sales Index is a leading indicator for the housing sector, based on pending sales of existing homes. A sale is listed as pending when the contract has been signed but the transaction has not closed, though the sale usually is finalized within one or two months of signing.

Pending contracts are good early indicators of upcoming sales closings. However, the amount of time between pending contracts and completed sales is not identical for all home sales. Variations in the length of the process from pending contract to closed sale can be caused by issues such as buyer difficulties with obtaining mortgage financing, home inspection problems, or appraisal issues.

The index is based on a sample that covers about 40% of multiple listing service data each month. In developing the model for the index, it was demonstrated that the level of monthly sales-contract activity parallels the level of closed existing-home sales in the following two months.

An index of 100 is equal to the average level of contract activity during 2001, which was the first year to be examined. By coincidence, the volume of existing-home sales in 2001 fell within the range of 5.0 to 5.5 million, which is considered normal for the current U.S. population.

Encounter or killing? Nearly five-fold rise in pending cases, shows data - Business Standard

Two gangsters and suspects in the murder case of Punjabi singer Sidhu Moose Wala were recently killed in an encounter by Punjab Police's Anti-Gangster Task Force in a four-hour-long shootout.

Encounter killings or extrajudicial executions by the often make headlines and have become increasi­ngly familiar in India. In the last six years, of encounter killings have increased nearly five-fold. In 2016-17, 25 such cases were pending, which increased to 124 in 2021-22.

While India has seen a 15 per ent decline in encounter killing cases registered in the six years between 2016-17 and 2021-22 (till March 10, 2022), the cases shot up by 69.5 per cent in the last two years.

In all the six years, only once has the Human Rights Commission (NHRC) recommended disciplinary action or prosecution regarding "death in encounters", according to Minister of State for Home Affairs Nityanand Rai in the Rajya Sabha in March 2022. Instead, the has recommended a total compensation of Rs 7.16 crore in the last six years.

India has registered 813 cases of encounter killings in the last six years, which means one such case has been registered almost every three days since April 2016 in the country. While there was a significant drop in these cases during the peak of the Covid-19 pandemic (from 112 in 2019-20 to 82 in 2020-21), there was a 69.5 per cent spike the next year with 139 cases. In the six years since April 2016, Chhattisgarh recorded the most extrajudicial killing cases (259), followed by Uttar Pradesh (110) and Assam (79).

Deeming Regulations Litigation Update – FDA Files Second Status Report on Pending Vapor Products PMTAs - JD Supra

FDA reports that the progress of its review of popular vapor products’ pending PMTAs remains in line with its first report.

On July 28, 2022, FDA filed a status report in American Academy of Pediatrics, et al. v. FDA, et al., No. 8:18-cv-00883 (D. Md.), addressing its review of pending premarket tobacco applications (“PMTAs”) for certain popular vapor products.  FDA filed the status report pursuant to a court order previously covered on this blog.  This is FDA’s second status report filed pursuant to that order, the first having been filed on May 13.

As previously reported by this blog, the May 13 status report estimated that FDA would resolve 240 pending PMTAs – for JUUL, Vuse, NJOY, Logic, Blu, SMOK, Suorin, and Puff Bar vapor products and other vapor products reaching certain retail sales benchmarks – by June 30, 2023.  FDA estimated that it would resolve more than half of those 240 PMTAs in 2022: 51% (or approximately 122) by June 30; 52% (or approximately 125) by September 30; and 56% (or approximately 134) by December 31.  The remainder would be resolved in the second quarter of 2023.

On July 28, FDA reported that it “met its prior estimate of taking action on 51% of [those 240 PMTAs] by June 30, 2022,” and “[t]he other estimates in the FDA’s May 13, 2022 status report remain the agency’s best forecast based on current information.”  FDA added that it “remains committed to completing review of the applications it has received as soon as feasible to protect and promote the public health,” having expressed the same commitment in its May 13 status report.

The court thanked FDA for its status report.  The next one is due on or before October 26.

It appears that FDA has not published decisions on any more PMTAs between June 30 and the date of this blogpost.*  As such, FDA’s estimates suggest it should resolve three of the above-referenced PMTAs between the date of this blogpost and September 30 and nine more before the year’s end.  The remaining 106 are expected to be resolved in the months of April through June 2023.

We will monitor for further developments.

* As of the date of this blogpost, FDA’s website does not show any marketing granted orders or marketing denial orders issued after June 30; however, its marketing granted order list is current as of June 10.

A look at pending legislation to protect same-sex marriages - The Associated Press - en Español

WASHINGTON (AP) — The Respect for Marriage Act, now pending in the Senate, would ensure that same-sex marriages are still legally recognized nationwide if the Supreme Court were to overturn its 2015 Obergefell v. Hodges decision that declared a constitutional right for gay couples to wed.

The House-passed legislation has some Republican support and is expected to come up for a vote in September. It is part of an effort by Democrats to protect various rights after Supreme Court decision last month to overturn Roe vs. Wade, which legalized abortion in all states.

While the Senate is not expected to approve separate House bills to legalize abortion or protect contraception rights, the same-sex marriage legislation has a real shot at passage after a handful of Republican senators indicated they would vote for it. Democrats need 10 GOP votes to overcome a filibuster and get the legislation through the 50-50 Senate.

A look at the bill:

PROTECTS, BUT DOESN’T CODIFY

The bill is designed to protect same-sex marriages after Justice Clarence Thomas suggested in a concurring opinion that the Obergefell decision upholding gay marriage should also be reconsidered.

The legislation wouldn’t codify, or enshrine into law, Obergefell, which now requires states to issue same-sex marriage licenses. If the bill were passed and Obergefell were later overturned, some states could stop issuing those licenses, but all states would still have to recognize same-sex marriages performed legally in other states.

The practical effect of that would be that some people couldn’t get married in their own states, but all same-sex marriages would continue to be recognized and eligible for the legal benefits of marriage.

Wisconsin Sen. Tammy Baldwin, the lead Democrat pushing the bill in the Senate, says the legislation was written that way because marriage is currently regulated by the states, not the federal government. Any legislation requiring federal regulation of marriages would be unlikely to garner enough support to pass.

REPEAL THE DEFENSE OF MARRIAGE ACT

If Obergefell were overturned today, federal law would partially revert to a 1996 statute called the Defense of Marriage Act. That legislation allowed states not to recognize same-sex marriages and legally defined the word “marriage” as a union between one man and one woman.

The bill would fully repeal that law, replacing it with the new language requiring that states and the federal government consider an individual married if they have been legally married in any state.

A separate 2013 Supreme Court case, United States v. Windsor, repealed part of the Defense of Marriage Act that kept legally married same-sex couples from receiving federal tax, health and pension benefits that were otherwise available to married couples. The bill includes provisions to ensure those benefits remain for same-sex couples, as well.

INTERRACIAL MARRIAGE

In addition to same-sex marriages, the bill would protect interracial marriages that were affirmed by the 1960s-era Supreme Court decision Loving v. Virginia. That decision invalidated state laws that banned marriages between individuals of different races.

The bill prohibits states “from denying full faith and credit to an out-of-state marriage based on the sex, race, ethnicity or national origin of the individuals in the marriage.”

Mayor selects Eric Dargan as City's chief operating officer, pending council - KPBS

Mayor Todd Gloria Thursday announced his selection of Eric K. Dargan to serve as the city's Chief Operating Officer to replace interim COO Jay Goldstone.

The announcement follows a national search with nearly 200 candidates which settled on Dargan, the current Chief Operating Officer of the Houston Public Works Department.

"I'm proud and excited to name Eric as the city of San Diego's next Chief Operating Officer, where his skills and experience will be put to great use as we continue the work to make our city function better at every level," Gloria said. "Eric is a true public servant who is ready to tackle our big challenges from building more housing and addressing homelessness to fixing our city's crumbling infrastructure. I am confident Eric will help drive change at the city and lead our mission to make San Diego not just a fine city, but a truly great city."

His appointment must be confirmed by the San Diego City Council. That confirmation hearing is scheduled for Sept. 12. If the council approves Dargan, he will take over as the city's COO on Nov. 1.

Dargan has served the city of Houston for more than 20 years, where he oversees the city's water, transportation and drainage operations, permitting center, customer account services and capital projects. He is also responsible for the safe operating condition of the city's streets, bridges, drainage ditches, water, sewer and storm water facilities, as well as permitting and billing.

"I'm honored to have been selected to help Mayor Todd Gloria carry out his big plans for this beautiful city," Dargan said. "I have a genuine passion for tackling significant challenges and making municipal operations as effective as possible for the people they serve. I look forward to bringing that passion to the city of San Diego."

An Arkansas native, Dargan attended college in Texas, earning his bachelor of science in electrical engineering from Prairie View A&M University. He went on to earn his masters of science in electrical engineering at Michigan State University in 1991. While working for Houston, Dargan received a Certified Public Manager accreditation through Sam Houston State University in 2007.

Dargan began his professional career with Southwestern Bell Telephone Company, now AT&T, where he also spent time in the U.S. Army, where he served for 10 years — two years as a lieutenant on active duty and eight years in the National Guard, reaching the rank of captain and serving as company commander in the 136th Signal Corps.

If confirmed by the city council, he will take over as Chief Operating Officer from Goldstone, whom Gloria appointed as interim COO in November 2020, while the city conducted a national search for a permanent COO.

"It has been a privilege to serve Mayor Gloria as his Chief Operating Officer and to help him tackle many big issues the city faces," Goldstone said. "I wish Eric all of the best in his role as Chief Operating Officer and know that his experience running a large public works department will serve the city well."

COUNTY News:

Though restoration isn’t yet complete after lightning took a power line down on Barranca Mesa today, power is back on for North Mesa utility customers.

Residents on Barranca Mesa will have to wait a little longer for restoration.

Department of Public Utilities Electric Distribution crews are working to repair the damaged line, which is near the descent into Rendija Canyon. They are trying to isolate lines in order to restore power for as many customers as possible while repairing the downed line.

The outage, which occurred around 2:05 p.m., today initially affected about 1,600 customers. About 670 are still without power.

Jim Harbaugh still mum on pending Michigan QB battle ahead of camp - MLive.com

INDIANAPOLIS — Jim Harbaugh offered little update on Michigan’s pending quarterback competition, praising both players in a session with reporters on Tuesday.

Harbaugh, speaking at Lucas Oil Stadium for Big Ten Media Days, told the media that his coaching staff “made it work” last year with Cade McNamara and J.J. McCarthy, both of whom “had phenomenal seasons.”

“J.J. in his true-freshman year; Cade in his junior year,” Harbaugh said. “Both played outstanding, winning football every time they went out there.”

It was the first time Harbaugh had talked football publicly since early-June, when he appeared at a football camp in Big Rapids, Mich., and told reporters that he anticipated a “competitive” competition between McNamara and McCarthy.

McNamara, who started all 14 games for Michigan’s Big Ten championship team, was one of four players invited by Harbaugh to Indianapolis, site of the annual two-day media event. He fielded questions for an hour after.

“I’ve got a really cool stat on Cade McNamara,” Harbaugh offered reporters. “Over 50 percent of his drives end in points. I don’t know, exactly, what the number is for J.J. — but it seems like every time he got in there and led a drive, it ended in points as well.”

McNamara threw for more than 2,500 yards and 15 touchdowns last season, impressing coaches with his ability to operate Michigan’s offense and commit few mistakes. Meanwhile, McCarthy appeared in 11 games but never got a start, throwing for 516 yards and five touchdowns while rushing for 124 yards and two more scores.

McCarthy, a former five-star recruit, has the stronger arm and more play-making ability. But he was limited in spring practice with a shoulder injury, and prone to mistakes last season. McCarthy finished the year with two interceptions and was involved in a crucial fumble in the loss to Michigan State.

“They ask sometimes at other positions: Who’s going to play? The best player is going to play,” Harbaugh said. “We’re going to know who the best player is by who plays the best.”

Michigan players have been instructed to report back to campus on Aug. 2, with training camp set to officially start next Wednesday, Aug. 3. The team will then have a full 30 days before the season gets underway Sept. 3 against Colorado State.

Harbaugh hasn’t ruled out the idea of playing both again, but was short on details of how such an arrangement would look.

“Cade McNamara is going to be really tough to beat out for the starting quarterback job,” Harbaugh said. “J.J. McCarthy is going to be really tough to beat out for the starting quarterback job.”

In other words, he isn’t ready to declare a frontrunner publicly — or appear like he’s ready to take a side.

MIDDLEBURG HEIGHTS, Ohio – A Vitalia Active Adult Community proposed for Middleburg Heights received a Planning Commission review on July 13, but due to multiple variances needed in order to proceed with the project, it was tabled to enable the Board of Zoning and Appeals to take a look at the plans as well.

“I have no problem with the concept of what they’re doing, but there are a lot of things here that should be handled in BZA before we’re even seeing this,” Planning Commission Chairman Anthony Crea said.

The BZA will review the plans at its Aug. 17 meeting, with the next Planning Commission meeting slated for Aug. 24.

Site plans indicate several one-story villas, a three-story assisted living and memory care facility, and a four-story building containing independent living apartments. The complex would be located on 11-plus acres at 19150 Bagley Road, near Southwest General Health Center. Units would be offered for lease only.

Commission member Con Sullivan specifically commented about the independent living apartment building.

“I certainly want to know how the fire department feels about the fourth story because of the type of residence it is,” Sullivan said. “I just want to make sure (the fire department) is comfortable with it, that there are safety measures in place if there are issues.”

Gary Biales, vice president of development for parent company Omni Smart Living, explained three properties comprise the development area, and there are “a lot of wetlands on the site.”

“(Pending receipt of a required permit), we’re planning to fill in under half an acre,” Biales said. “That will leave about 2 acres of wetlands on the site.”

He said he has had conversations with Cleveland Metroparks officials about trail access behind the property.

“They have agreed to let us connect to their path,” Biales told the commission. “We would also like for them to take a wetland from us, so they can then control it.”

Building Commissioner Norm Herwerden said the city will continue to work with Biales to refine the project plan.

“We should have all the bumps and issues worked out before it comes back to (Planning Commission),” Herwerden said. “This is a huge project on Bagley Road, and it’s important that we all get it right.”

Data being presented at AACC 2022 compare the ISI to ED diagnosis and indicates that the ISI could provide valuable information to help EDs rapidly triage patients more effectively. In the abstract, “A Rapid Cellular Host Response Test May Aid ED Decision Making for Sepsis Care” (Poster B-224), the ISI showed a significantly higher Positive Percent Agreement (PPA/Sensitivity) of 97.4% (86.2 – 99.9, 95% CI) and Negative Predictive Value (NPV) of 99.4% (86.2 – 99.9, 95% CI) with a Green Band cutoff compared to ED Diagnosis at 50.0% PPA (33.4 – 66.6, 95% CI) and 92.7% NPV (78.6 – 98.3, 95% CI), respectively. The data, which draw from studies prior to CV-SQuISH-ED, will be presented by Dr. Hollis O’Neal, critical care physician at Louisiana State University Health Sciences Center, Wednesday, July 27 from 1:30 to 2:30 pm CT in the poster hall.

“I see the potential for the investigational IntelliSep to have significant impact on improving sepsis identification and diagnosis in ED settings,” said Dr. O’Neal, who also served as national principal investigator for Cytovale’s clinical validation study. “Based on my analysis of the data available to date, I have hope that IntelliSep can improve outcomes, including ED throughput and progress in resource utilization, cost of stay, and ICU length of stay.”

Pending Business: The Great Resignation - TALKERS magazine

PALM BEACH GARDENS, Fla. — No doubt you’ve been reading about The Great Resignation.

Seems we’ve hit a 20-year high in workers throwing in the towel and calling it quits. Who can blame them, with stipend checks and readily available job openings. The Pew survey says the top three reasons for The Great Resignation are: low pay, lack of advancement opportunity, and feeling disrespected at work.

Does it sound like the grumbling before the Monday morning sales meeting? My marketing work puts me in direct contact with sales reps across the country and The Great Resignation did extend into our radio/audio sales community. On the radio side more so in the larger market stations: New York, San Francisco, Boston, Philadelphia, San Diego, Hartford, and several more.

One theory is the newer acceptance of work-from-home changed the work environment culture, motivating thousands to simply resign and move on to the next opportunity.

Another theory is that pandemic impacted ad budgets made life miserable for sellers accustomed to a work flow that relied on account stability that was rocked to the core.

And now a new threat is looming that once again can threaten your precious account base that brings in those monthly commissions. This one is more familiar and has the markings of an old nemesis we’ve battled before. A dreaded recession now combined with rising prices. Stand by for shrinking ad budgets and even staff cutbacks. What to do?

Gloom and doom are bad for sales so please push that out of the way and let’s roll up our sleeves and get to work.

  • No surprises. Connect with your current advertisers more regularly so you are in the flow and in the know on budgets, planning and goals.
  • Be proactive. Open new categories today. Don’t wait until cancellations begin.
  • Be creative. Newer concept packaging including social media assets can move the needle.
  • Go deep. Mainstay talk radio categories are predictable. Sometimes it takes a few more calls to get where you need to be.
  • Manager or Mentor. Ask questions. If your leadership has been through these cycles before look for guidance and input. If not, look around. You may find a teammate with helpful experience.
  • Watch collections. A slowdown is a slowdown. Business conditions may extend into areas that are challenging.

The Great Resignation may have impacted your work environment in ways yet to be seen. The beauty of being a pro-level seller is your ability to earn your way to a brighter day.

The IntelliSep test was recently named an AACC Disruptive Technology Award Semifinalist and is also being featured in the Disruptive Tech area of the exhibit hall during the meeting.

Emergency department (ED) physicians tasked with diagnosing sepsis, a dysregulated immune (white blood cell) response to infection that can be life threatening, often face a scarcity of information that could lead to over- or under-treatment. To help address this challenge, the Cytovale system directly analyzes white blood cells using rapid techniques that look at cell structure, which may make it faster and less expensive than other approaches. The IntelliSep test aims to simply and clearly determine the risk of a patient having sepsis using a biomechanical evaluation of white blood cells from a standard blood draw at presentation, generating results in under 10 minutes. Microfluidic cell-handling techniques combined with the technological advances of high-speed imaging and machine learning allow the Cytovale system to analyze the biophysical properties of tens of thousands of leukocytes, yielding a score called the IntelliSep Index (ISI). The ISI results are stratified into three interpretation bands corresponding to regions of low (Green Band), intermediate (Yellow Band), and high (Red Band) risk for sepsis.

Micro, Small and Medium Enterprises (MSMEs) have been hit the hardest by Covid-19 and lockdowns that were announced to control the spread of the coronavirus.

Data from Bengaluru-based nonprofit mass entrepreneurship facilitator Global Alliance for Mass Entrepreneurship (GAME), American commercial data analytics company Dun & Bradstreet, and the India arm of the philanthropic investment company Omidyar Network show that the MSME sector is badly hit due to delayed payments.

The worst sufferers are the smaller ones among the MSMEs, which is set to delay their post pandemic recovery.

What are the main findings of the report?

Delayed payments from both private and government buyers is impacting the return of the MSME sector post the pandemic. Among the MSMEs, the worst impacted are those with the smallest establishments — the micro and small units — whose pending dues have now touched Rs 8.73 lakh crore, almost 80% of the total pending for the entire MSME sector until 2021.

Delayed payments as percentage of sales has seen a sharp spike from 46.16 per cent in 2020 to 65.73 per cent in 2021 for the ‘micro’ segment, and from 28.85 per cent to 31.10 per cent for ‘small’ units, says the report.

However, the rise in delayed payments as a percentage of sales has been much lower for ‘medium’ segment units, up from 24.02 per cent in 2020 to 25.20 per cent in 2021.

How are the units under MSME categorised?

Micro units are those with investments up to Rs 1 crore and turnover of less than Rs 5 crore. For small units, the investment limit is Rs 10 crore, and turnover is pegged at less than Rs 50 crore. A unit is termed medium if it has investments of up to Rs 20 crore with a turnover of less than Rs 100 crore.

How is the government dealing with this problem?

Nitin Gadkari, then Minister for MSME, had flagged way back in mid-2020 that state and Central governments, their ministries and PSUs, and major industries combined owed an estimated Rs 5 lakh crore to MSMEs.

The government, in 2020, had asked both PSUs and the top 500 companies to clear their dues to units in the sector. This was done as part of the government’s plan to ensure enough liquidity for MSME units along with a credit facility for the sector under the Emergency Credit Line Guarantee Scheme (ECLGS) scheme.

Have the government diktats worked?

Despite various diktats from the Centre, the value of delayed payments to the MSME sector has increased to Rs 10.7 lakh crore until the end of calendar year 2021, according to the report.

About 81 per cent of the total amount is owed to small and micro enterprises: Rs 4.29 lakh crore to small enterprises and Rs 4.44 lakh crore to micro enterprises. Highlighting the severity of the problem, the report says that median debtor days beyond the legally recommended 45-day period for micro enterprises in 2020-21 was 6.5 months (195 days), compared to two months (68 days) for small enterprises, and 1.5 months (47 days) for medium enterprises.

Case pending before Hawaiʻi Supreme Court to look at Kealoha legal fees - Hawaiipublicradio

The City and County of Honolulu continues to fight a 2019 decision by the Honolulu Police Commission to pay for former Honolulu Police Chief Louis Kealoha's criminal defense.

The Hawaiʻi Supreme Court may review the decision of lower courts on who will pay.

This has been a topic up for several years now.

County police commissions can decide whether an officer is entitled to defense under state law. These decisions are made well before conviction, and in this case, before Kealoha pleaded guilty.

Honolulu Corporation Counsel attorney Duane Pang, who briefed the commission on Wednesday, said the city continues to argue that Kealoha’s actions were not typical police activity.

The argument hinges on the commission's Rule 11, which is the determination of whether an act was done in the performance of an officer’s job.

“The fact that he pled guilty and was convicted does not change that your decision was proper,” Pang told the HPC.

Circuit court agreed with the commission back in 2020 that the city should pay, and the Intermediate Court of Appeals upheld it in March. Then, the city's request for reconsideration was denied.

In June, the city requested the Hawaiʻi Supreme Court review this decision, which is where the case is currently pending.

​​Twitter Cancels Q2 Earnings Call, Citing Elon Musk's 'Pending Acquisition' - Decrypt

Twitter, Inc canceled this month’s quarterly earnings call today, citing its ongoing litigation against Elon Musk, the billionaire CEO of Tesla, whose beleaguered attempt to withdraw from a planned multibillion-dollar acquisition of Twitter continues apace. 

“Given the pending acquisition of Twitter by an affiliate of Elon Musk, we will not host an earnings conference call, issue a shareholder letter, or provide financial guidance in conjunction with our second quarter 2022 earnings release,” Twitter wrote in a statement. 

Many in the crypto space had enthusiastically supported Musk’s bid for Twitter in the hope that he would further integrate crypto features into the platform and lay the groundwork for broader adoption.

So far, the principal effect of Musk’s bid has been on Twitter’s ability to conduct its business. 

Twitter did, nevertheless, release a report detailing its recent earnings.

In the second quarter, it announced that it had increased its daily active users by 16.6% to 237.8 million, while its revenue dropped by 1% to 1.18 billion. The downturn reflects, it wrote, “advertising industry headwinds” associated with the macroenvironment—presumably Ukraine and the post-pandemic fallout. 

It also said revenue had suffered from “uncertainty related to the pending acquisition of Twitter by an affiliate of Elon Musk.” 

Twitter, Musk and Crypto

The social media giant's troubled relationship with Musk began in April when the entrepreneur agreed to buy the company at $54.2 per share, valuing the company at around $43 billion.

Among Musk’s financiers were a bevy of crypto companies, including Binance and crypto-adjacent venture firm Andressen Horowitz, and it was expected that he would implement certain Web3 features into the platform, such as allowing micropayments. 

However, as stocks subsequently plummeted and inflation went into a tailspin, Musk appeared to get cold feet, regularly taking to Twitter to lambast the company and its executives.

Finally, last month, he attempted to pull out of the deal entirely, claiming Twitter had failed to properly account for the number of bots populating its app. 

Twitter disputes this—it says there was no mention of bots in the contract signed by Musk, and that Musk himself had claimed he wanted to buy the platform to “defeat the bots”—and has taken Musk to court. It hopes to compel him to buy the company or else force him to pay a $1 billion “divorce fee.”

Earlier this week a court agreed to a “fast-track” hearing that will see litigation begin in October.

Twitter posts quarterly sales drop and says it spent $33M on pending Musk acquisition - TechCrunch

Twitter has published its Q2 2022 results, with the social networking giant’s numbers falling short of analysts’ estimates across user growth and revenues.

Perhaps more interestingly, however, Twitter also revealed that it spent $33 million in Q2 on Elon Musk’s pending acquisition.

Twitter vs. Musk

Today’s results represent Twitter’s second earnings since accepting Elon Musk’s $44 billion acquisition bid back in April, but a lot has happened in those intervening months. To cut a long story short, Musk decided he didn’t want to buy Twitter any more, but Twitter is trying to force the deal through, and a judge ruled last week that the company could expedite legal proceedings against the billionaire.

However, that is still months away from reaching anything close to a resolution, and until then Twitter remains a public company that is answerable to its many shareholders. And so today, Twitter announced that its Q2 revenue amounted to $1.18 billion, down around 5% on the previous quarter and 1% on the corresponding period last year — analysts had estimated its Q2 revenues at around $1.32 billion. This, according to Twitter, reflects “headwinds’ in the advertising industry related to the current economic environment, while it also pointed to “uncertainty” caused by Musk’s attempts to pull out from the deal.

Elsewhere, Twitter’s monetizable daily active users (mDAUs) actually increased 16.6% year-on-year to 237.8 million, however this fell marginally short of estimates, which were pegged at 238.08 million.

Perhaps unsurprisingly, Musk’s name cropped up quite a few times in Twitter’s Q2 results. For instance, the company said that it would not be hosting its usual post-earnings conference call due to the pending acquisition, nor would it issue a shareholder letter or provide any form of future-gazing financial guidance. The company also called Musk’s planned termination “invalid and wrongful.”

But arguably the most interesting nugget was its year-on-year increase in costs and expenses, which grew 31% to $1.52 billion.

As with many other companies across the industrial spectrum, Twitter has had costs to bear in terms of downsizing and restructuring, with a number of senior executives leaving the company — and it’s against that backdrop that Twitter today reported $19 million in severance costs this quarter. In preparation of a broader hiring freeze, Twitter also recently laid off 30% of its talent acquisition team, however that hit won’t show up until its Q3 report later this year. 

But star of the show in its costs and expenses surge was undoubtedly the aforementioned $33 million it spent on Musk’s flip-flopping acquisition offer — a figure that will only increase as Musk does his damndest to u-turn on the multi-billion-dollar transaction.

On July 12, the Travis County Commissioners Court voted to deny developers of Travis Club, a subdivision plan at Bee Creek Road and Thurman Bend Drive with a golf course and marina, the ability to move ahead with phase one of construction before a traffic impact analysis is conducted. However, commissioners expressed approval of other variance requests by the developer, which would allow a trail system in place of sidewalks, access to neighboring subdivisions and development within a waterway buffer zone. The development was essentially authorized, pending the results of the traffic analysis.

Plans for the former 1,047-acre ranch in western Travis County include developing a golf course, marina, 274 single-family lots, 223 “villa” units, 29 open space lots, a system of trails, seven golf course lots and 59,499 feet of private road (11 percent of which would be impervious).

Some of the variances requested were previously granted by the county in 2008, but had since expired.

Numerous residents and public commenters spoke out against the development, citing doubt about whether the development serves community needs and integrates well with the surrounding area. Others expressed concerns over traffic safety, the affordability of the development, and access and ingress issues.

“I strongly urge the court to deny the developer’s preliminary plan and the phasing and the variances until a robust and approved traffic impact analysis can be, and should be, completed,” said Linda Pollock, resident of Siesta Shores, adjacent to the development. “These are Hill Country roads. They are narrow. There are tight curves, and there are many hills of different elevations. … This will create a very impactful traffic situation.”

One public commenter, who approved of the plan, identified herself as an area Realtor and associate of the Covert family, the former proprietors, as well as the current owners of the area car dealership Covert Auto Group.

She said the Covert family had multiple offers for the land, and selected the buyer based on the reputation of the developers and the requirement that the buyer be a ”good steward of the land, respectful of what it was, is, and will be.”

Every other area resident spoke against the development.

“What they’re talking about building is housing that is unaffordable for the vast majority of Travis County residents and will greatly exceed the average cost of housing for the community,” said Kent Bradford, who identified himself as a concerned neighbor. “When we’re looking at housing shortages, we shouldn’t be building high-end homes, we should be focusing on homes that will allow more of our community’s members an affordable place to live.”

Other residents brought to light environmental concerns, as the property housed native Ashe juniper trees that could be “50 to 200 years old” and habitats for the golden-cheeked warbler, an endangered species of bird native to Central Texas.

According to the Texas Parks and Wildlife Department, golden-cheeked warblers are endangered “because many tall juniper and oak woodlands have been cleared to build houses, roads and stores.”
